The Board shall hold at least four meetings each fiscal year, one each in October,
January, April and July. Regular or special meetings shall be called by the chairman
of the Board and in his absence by the vice-chairman of the Board or by a quorum of
the Board. Special meetings shall be called only with at least forty-eight hours'
notice to all members as to the time and place. A quorum shall consist of nine members.
An affirmative vote shall consist of a simple majority of the members present.
